The International Stock Exchange (TISE) is a well-established, leading exchange, attracting an increasingly diverse international issuer base. If you’re looking for a flexible and low-cost exchange to list your business on, TISE is the ideal choice as it’s not bound by any EU listing directives. With over 3,500 securities listed on the exchange, it’s relatively quick and easy to process listing applications, particularly within such a highly regulated and fast-paced marketplace. It’s also a popular option for listing structures such as Special Purpose Acquisition Companies (SPACs), Real Estate Investment Trusts (REITs), high yield bonds and Eurobonds.

As a Category 1, 2 and 3 listing member of TISE, we can help facilitate the listing of debt securities, from when the listing is first obtained through the full life of the listing. We’ve acted as a listing agent to over 60 debt issuers in the last three years alone and our team have a deep understanding of the extensive requirements and obligations associated with listing on this exchange.

No matter where your issuers are based, we can act as a listing agent to assist with your initial listing application and your ongoing listing obligations. We work closely with debt issuers and their legal advisers to complete and collate listing documentation for submission to TISE and liaise on any feedback from the exchange. Once a listing is obtained, the issuer must observe the Listing Rules and we’re on hand to ensure you adhere to the specific requirements and remain compliant for the full life of the listing.

Our services:

• Category 1 member (2018) – act as a listing agent to issuers wanting to list on the Qualified Investor Bond Market (QIBM)
• Category 2 member (2021) – act as the listing agent/sponsor for all other eligible securities, including REITs and SPACs
• Assess the issuer and wider transaction for suitability to list
• Review of prospectus and issuing documents to ensure compliance with Listing Rules
• Liaise with issuer and lead lawyers regarding timing of listing, background information and any non-conformity with listing requirements
• Prepare listing application and additional documents
• Liaise with TISE to receive comments and process final listing application
• Act as liaison between issuer and TISE such that any material events or changes to the notes are notified
• Maintain close communication channels with the issuer
• Manage ongoing obligations of the listing including notify issuer and TISE on any material event, disseminate information to the market via TISE’s online portal and ensure communications from TISE are passed on to the issuer

Listing agency services to REITs and SPACs on TISE

SPACS have grown again in popularity and TISE has specific rules for listing the equity of trading companies and investment vehicles which might be utilised by the enlarged group once the SPAC has made its Qualifying Acquisition (QA) if there’s a demand to retain a listing. And, TISE is home to a third of all UK REITs not only because they’re a globally recognised exchange but they also have pragmatic listing requirements for the product while also being particularly cost-effective.
